Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by Unit09 ("Unit09", "we", "us", or "our"), including the Focus and ARIS platforms (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.

1. The Service

Unit09 provides software for freight and logistics operations, including tools to request and compare carrier shipping quotes, manage shipments, and communicate with carriers and customers. Quotes, rates, transit times, and other carrier information surfaced through the Service are estimates provided by or derived from third-party carriers and are subject to change. Unit09 is a technology provider, not a carrier, freight forwarder, or broker of record, and does not transport goods or guarantee any carrier rate, capacity, or service outcome.

2. Eligibility and Accounts

You must be at least the age of majority in your jurisdiction and use the Service for legitimate business purposes. You are responsible for the accuracy of the information you provide, for all activity that occurs under your account, and for keeping your credentials confidential. Notify us promptly at support@unit09.app if you suspect any unauthorized use of your account.

3. Acceptable Use

You agree not to:

• use the Service in violation of any applicable law, regulation, or carrier tariff;
• submit shipment information for goods you are not authorized to ship, or for prohibited, hazardous, or unlawful materials except as expressly permitted and properly declared;
• access the Service through automated means, scrape, or attempt to extract data except through interfaces we provide;
• reverse engineer, decompile, or attempt to derive the source code of the Service;
• interfere with, overload, or disrupt the Service or attempt to gain unauthorized access to it or its related systems; or
• resell, sublicense, or make the Service available to any third party except as permitted by your plan.

4. Customer Data

You retain all rights to the data you submit to the Service ("Customer Data"). You grant Unit09 a worldwide, non-exclusive license to host, process, and transmit Customer Data solely to provide and improve the Service, to route quote requests to carriers and contacts you designate, and as otherwise described in our Privacy Policy. You represent that you have the rights necessary to submit Customer Data and to authorize this processing.

5. Fees

If your access is provided under a paid plan, you agree to pay all applicable fees for your subscription or usage. Unless otherwise stated, fees are exclusive of taxes, are non-refundable except where required by law, and may change on renewal with prior notice. Failure to pay may result in suspension or termination of access.

6. Intellectual Property

The Service, including all software, content, and trademarks (such as the Focus and ARIS names and logos), is owned by Unit09 or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

7. Third-Party Services

The Service integrates with third parties, including carriers, payment processors, and email and infrastructure providers. Your use of those services may be subject to their own terms, and Unit09 is not responsible for third-party acts, omissions, rates, or content.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Unit09 does not warrant that quotes are accurate or available, that carriers will honor any rate, or that the Service will be uninterrupted or error-free. You are responsible for verifying rates and terms directly with carriers before relying on them.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIT09 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. UNIT09'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO UNIT09 IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

10. Indemnification

You agree to indemnify and hold harmless Unit09 and its officers, employees, and agents from any claims, losses, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your breach of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe your use poses a risk to the Service or others. Provisions that by their nature should survive termination (including Sections 4 through 10) will survive.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Effective" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in British Columbia will have exclusive jurisdiction over any dispute arising from these Terms or the Service.
